By accessing and using Aligned Mastermind's services ("Services"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services. We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting.

2. Description of Services

Aligned Mastermind provides bespoke mastermind group matching and facilitation services. We curate and connect professionals with small groups (6-12 members) based on aligned goals, complementary skills, and cultural fit. Our Services include application processing, group matching, facilitation support, and ongoing member coordination.

3. Eligibility

You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

4. Application Process

• All applications are subject to review and approval at our sole discretion
• We reserve the right to reject any application without providing a reason
• Submission of an application does not guarantee acceptance or group placement
• All information provided must be accurate, complete, and truthful
• False or misleading information may result in immediate termination of services

5. Membership and Participation

As a member, you agree to:

• Attend scheduled mastermind sessions regularly and punctually
• Actively participate and contribute to group discussions
• Respect the confidentiality of all group members and discussions
• Maintain professional conduct at all times
• Provide constructive feedback and support to fellow members
• Follow any additional group-specific guidelines established by your mastermind

6. Confidentiality

All discussions, materials, and information shared within mastermind groups are strictly confidential. Members agree not to disclose any confidential information shared by other members without explicit permission. Breach of confidentiality may result in immediate termination of membership without refund.

7. Payment Terms

• Membership fees are determined based on group type and commitment level
• Payment is required in advance for the agreed membership period
• All fees are non-refundable unless otherwise specified in writing
• Failure to pay fees may result in suspension or termination of membership
• Prices are subject to change with 30 days' notice to existing members

8. Cancellation and Refunds

Cancellation by Member:

• Members may cancel with 30 days' written notice
• No refunds will be provided for unused sessions or partial months
• Cancellation is effective at the end of the current billing cycle

Cancellation by Aligned Mastermind:

• We reserve the right to terminate membership for violation of these Terms
• We may cancel or reschedule sessions due to unforeseen circumstances
• In case of service termination by us, prorated refunds may be provided

9. Code of Conduct

Members must refrain from:

• Harassment, discrimination, or disrespectful behavior
• Sharing false, misleading, or harmful information
• Soliciting members for unrelated business purposes without consent
• Recording sessions without explicit permission from all participants
• Any illegal or unethical activities

Violation of this Code of Conduct may result in immediate termination without refund.

10. Intellectual Property

All content, materials, and resources provided by Aligned Mastermind are our intellectual property and protected by copyright laws. Members may not reproduce, distribute, or create derivative works without our written permission. Members retain ownership of their own contributions and ideas shared during sessions.

11. Limitation of Liability

Aligned Mastermind provides matching and facilitation services but does not guarantee specific outcomes or results. We are not liable for:

• Business decisions or actions taken based on mastermind discussions
• Conflicts or disputes between members
• Financial losses or damages resulting from participation
• Missed opportunities or failed ventures
• Technical issues or service interruptions beyond our control

To the fullest extent permitted by law, our total liability shall not exceed the amount paid by you for the Services in the 12 months preceding the claim.

12. Disclaimer of Warranties

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that our Services will be uninterrupted, error-free, or meet your specific requirements. We make no guarantees about the quality, accuracy, or reliability of any advice or information shared during mastermind sessions.

13. Indemnification

You agree to indemnify, defend, and hold harmless Aligned Mastermind, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from your use of our Services, violation of these Terms, or infringement of any rights of another party.

14. Dispute Resolution

Any disputes arising from these Terms or our Services shall first be addressed through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive your right to participate in class action lawsuits.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Aligned Mastermind regarding your use of our Services and supersede all prior agreements and understandings.
